PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THEY CONTAIN IMPORTANT LIMITATIONS OF LIABILITY, RELEASES, AN INDEMNIFICATION OBLIGATION, A CONTRACTUAL LIMITATIONS PERIOD, AND, UNLESS YOU TIMELY OPT OUT, A BINDING ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER.
These Terms of Service (the “Terms”) govern access to and use of the website located at www.PayDiverse.com and any related webpages, portals, forms, applications, communications, content, and online services made available by Pay Diverse Ventures LLC, doing business as PayDiverse (“PayDiverse,” “Company,” “we,” “us,” or “our”) (collectively, the “Site”).
By clicking to accept these Terms or by accessing or using the Site, submitting an inquiry or application, uploading documents, communicating with us through the Site, or otherwise using any Site feature, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Site.
These Terms apply only to the Site and PayDiverse’s brokerage, referral, administrative, and application-facilitation activities. Payment processing, gateway, equipment, chargeback-management, financing, banking, underwriting, or other products and services offered by third parties are governed by separate agreements between you and the applicable third party.
1. Eligibility; Business Use Only
You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the Site. You may use the Site only for legitimate business purposes and only on behalf of a lawfully organized or operated business. PayDiverse does not provide consumer credit, debt relief, debt settlement, credit repair, or other consumer financial services through the Site.
If you access or use the Site on behalf of an entity, you represent and warrant that you have authority to bind that entity, and “you” includes both you and that entity.
2. PayDiverse’s Limited Role as a Broker and Intermediary
PayDiverse is a business-to-business payment processing brokerage and authorized sales organization that markets, refers, and facilitates access to products and services offered by independent third parties, which may include acquiring banks, sponsor banks, payment processors, payment facilitators, independent sales organizations, payment gateways, equipment providers, chargeback management providers, fraud prevention providers, identity verification providers, financing providers, and other financial or technology service providers (collectively, “Providers”).
PayDiverse may receive compensation from Providers in connection with referrals, introductions, placements, products, or services made available to you. Such compensation may include referral fees, commissions, residual or recurring payments, revenue sharing, bonuses, incentives, or other forms of compensation, and the amount and structure of such compensation may vary among Providers, products, services, and arrangements. Accordingly, PayDiverse may have a financial interest in referring you to, or facilitating your relationship with, a particular Provider. Unless PayDiverse expressly agrees otherwise in writing, any referral, introduction, or information provided by PayDiverse should not be understood as a representation that a particular Provider, product, service, pricing arrangement, or other offering is the best, lowest-cost, or most suitable option available to you.
Except where PayDiverse expressly agrees otherwise in a separate written agreement signed by an authorized officer, PayDiverse does not itself underwrite, approve, open, sponsor, settle, fund, process, acquire, or service payment transactions. PayDiverse is not a bank, lender, payment processor, payment facilitator, fiduciary, legal adviser, tax adviser, accountant, or financial adviser.
PayDiverse is not your agent and does not owe you any fiduciary, advisory, best interest, or other special duty. No Provider is PayDiverse’s agent merely because PayDiverse introduces you to or communicates with that Provider, and PayDiverse is not responsible for the acts, omissions, statements, systems, decisions, or performance of any Provider.
3. No Guarantee of Approval, Placement, Pricing, Timing, or Results
All applications and opportunities are subject to the independent review, underwriting standards, risk policies, compliance requirements, pricing decisions, reserve requirements, documentation requirements, availability, and final approval of one or more Providers. PayDiverse does not guarantee and makes no representation or warranty concerning:
- approval, acceptance, placement, or continued availability of any merchant account, gateway, equipment, financing, or other product or service;
- any rate, fee, reserve, holdback, rolling reserve, funding schedule, processing limit, chargeback threshold, contract term, equipment term, or other commercial condition;
- any underwriting, onboarding, integration, activation, deployment, settlement, funding, or implementation timeline;
- the number or identity of Providers that will review an application or the sequence in which submissions may occur;
- approval of any particular business model, product, service, or processing volume; or
- any specific outcome, revenue, chargeback result, fraud result, or business performance.
A Provider may request additional information, impose conditions, delay or discontinue review, change its requirements, decline an application, withdraw a prior indication or approval before activation, suspend or terminate services, or alter terms as permitted by its agreement and applicable law. PayDiverse cannot waive, override, expedite, or compel any Provider decision.
4. No Obligation to Continue Placement Efforts
PayDiverse may determine, in its sole discretion, whether, when, and to which Providers an inquiry or application may be referred. PayDiverse has no obligation to submit an application to every available Provider, to continue seeking placement after one or more declines, to appeal an underwriting decision, or to continue assisting with an application. PayDiverse may cease placement or facilitation efforts at any time, with or without notice and without liability, including where it determines that further efforts are unlikely to result in placement, the information supplied is incomplete or inconsistent, a business presents legal or reputational risk, or a Provider relationship is unavailable.
5. Your Application Information and Continuing Duties
You are solely responsible for all information, documents, statements, projections, representations, and materials submitted through or in connection with the Site (“Submitted Information”). You represent and warrant that Submitted Information is accurate, complete, current, lawful, not misleading, and provided with all necessary authority and consents.
You must promptly correct or supplement Submitted Information if it becomes inaccurate, incomplete, or outdated. You authorize PayDiverse, Providers, and their respective service providers to contact you, your representatives, and relevant third parties to verify Submitted Information, request additional information, and obtain business and identity-verification reports, in each case as permitted by applicable law. You acknowledge that inaccurate, incomplete, inconsistent, or delayed information may cause delay, decline, suspension, termination, withholding of funds, reserves, or other adverse action by a Provider.
6. Authorization to Share and Process Information
You authorize PayDiverse to collect, use, reproduce, transmit, disclose, and otherwise process Submitted Information as reasonably necessary to evaluate your inquiry, facilitate applications, identify potential Providers, support underwriting and compliance review, provide customer support, prevent fraud, maintain records, protect legal rights, and perform related business operations, in each case consistent with our Privacy Policy and applicable law.
You specifically authorize PayDiverse to submit or make Submitted Information available to multiple Providers and to third-party vendors that support identity verification, fraud screening, sanctions screening, document processing, data hosting, communications, analytics, customer service, and other operational functions, without requiring separate consent for each disclosure. Submission to one Provider does not prevent submission to another Provider.
PayDiverse may use employees, contractors, affiliates, and service providers located in the United States or other jurisdictions to perform administrative, customer support, application processing, document review, technology, and back office functions. Such personnel may access information only as reasonably necessary for their assigned functions and subject to applicable confidentiality, security, and contractual restrictions.
7. Independent Review of Provider Agreements
You are solely responsible for reviewing, understanding, and deciding whether to enter into any agreement with a Provider. Provider agreements may include fees, liquidated damages, early termination fees, personal guaranties, reserves, security interests, equipment leases, processing commitments, dispute-resolution provisions, and other material obligations. PayDiverse does not provide legal advice concerning those agreements and does not guarantee that any proposed terms are favorable or suitable for your business. You should consult your own legal, tax, accounting, compliance, and financial advisers before signing.
8. No Reliance on Statements or Estimates
You acknowledge and agree that, in deciding whether to use the Site, submit an application, or enter into any Provider agreement, you are not relying on any oral or informal statement, estimate, projection, sales presentation, marketing statement, or representation by PayDiverse or any of its personnel concerning approval likelihood, timing, pricing, rates, fees, reserves, processing volume, chargeback ratios, funding, savings, revenue, profitability, legal compliance, or future results, except for an express written commitment contained in a separate agreement signed by an authorized officer of PayDiverse.
Any examples, estimates, calculators, comparisons, or projected results are illustrative only, are not guarantees, and may not reflect your circumstances.
9. Permitted Use; License
Subject to these Terms, PayDiverse grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for lawful business purposes. No right, title, or interest in the Site or any content is transferred to you. PayDiverse and its licensors reserve all rights not expressly granted.
10. Prohibited Conduct
You may not, directly or indirectly:
- use the Site for an unlawful, fraudulent, deceptive, abusive, or unauthorized purpose;
- impersonate another person or entity, submit information without authority, or use another person’s personal information without lawful permission;
- submit false, incomplete, manipulated, fabricated, or misleading information or documents;
- interfere with, disrupt, damage, probe, scan, test, or circumvent the Site or its security, authentication, access-control, rate-limiting, robot-exclusion, or technical measures;
- introduce malware, malicious code, automated scripts, bots, scrapers, spiders, or other automated means except with our prior written permission;
- reverse engineer, decompile, disassemble, copy, modify, distribute, sell, sublicense, frame, mirror, or create derivative works from the Site or its content except as permitted by law;
- use the Site to infringe intellectual property, privacy, publicity, contractual, or other rights; or
- use the Site in a manner that imposes an unreasonable load, disrupts another user, or exposes PayDiverse or any Provider to legal, regulatory, operational, reputational, or security risk.
11. Compliance Representations
You represent and warrant that your business, products, services, marketing, and use of any Provider service comply with all applicable laws, regulations, card network rules, payment network rules, sanctions, anti-money laundering requirements, consumer protection requirements, privacy and data security obligations, licensing requirements, and industry standards. You will not use the Site or any resulting Provider service for prohibited, deceptive, infringing, illegal, or unlicensed activity.
You are responsible for determining whether your business requires any license, registration, consent, notice, disclosure, or other authorization. PayDiverse’s willingness to assist with an application is not a legal or compliance determination and does not mean that your business or proposed activity is lawful, licensed, eligible, or acceptable to any Provider.
12. SMS/Text Messaging Program
PayDiverse may offer an SMS program for non-marketing customer-care messages, including application status updates, account notifications, support updates, appointment coordination, and other service-related communications. You must be at least eighteen (18) years old and a legal resident of the United States or Canada to opt in.
You opt in only by affirmatively checking an unchecked SMS consent box at https://paydiverse.com/contact-us/ before submission. Consent is not a condition of purchasing or receiving services. Message frequency varies and may be a few messages per month. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.
You may opt out at any time by replying STOP. After you send STOP, PayDiverse may send one confirmation message. To receive assistance, reply HELP or contact PayDiverse at [email protected] or 516-776-9060. You may rejoin by completing the applicable opt-in process again. SMS opt-in data and consent records are not shared with third parties or affiliates for their marketing or promotional purposes. Additional information appears in the Privacy Policy.
13. Electronic Communications; E-SIGN Consent
You consent to receive communications electronically, including through the Site, email, text message, portals, and electronic records. You agree that electronic communications, notices, disclosures, authorizations, and signatures satisfy any legal requirement that they be in writing, to the fullest extent permitted by the Electronic Signatures in Global and National Commerce Act, applicable state electronic-transactions laws, and other applicable law.
You are responsible for maintaining a current email address and telephone number, monitoring those communication channels, retaining copies of electronic communications, and promptly notifying PayDiverse of any change. Notices sent to your last provided contact information will be deemed received when sent, except where applicable law requires otherwise. You may withdraw consent to electronic communications by contacting us, but withdrawal may limit or terminate your ability to use portions of the Site or complete an application.
14. Privacy and Security
Our Privacy Policy describes how we collect, use, disclose, and retain personal information. The Privacy Policy is incorporated into these Terms by reference.
No internet transmission or information system is completely secure. Although PayDiverse uses safeguards designed to protect information, PayDiverse does not warrant that the Site or any transmission, storage system, Provider system, or third-party system will be uninterrupted, error-free, or immune from unauthorized access, cyberattack, data loss, or security incident. To the fullest extent permitted by law, PayDiverse is not responsible for a breach, outage, loss, misuse, alteration, or disclosure occurring within a Provider’s or other third party’s systems or resulting from circumstances outside PayDiverse’s reasonable control.
15. Third-Party Sites, Services, and Content
The Site may link to, integrate with, refer to, or display content, products, services, software, applications, or websites operated by third parties. Those items are provided for convenience and do not constitute endorsement or control. PayDiverse is not responsible for their availability, accuracy, security, privacy practices, terms, content, products, services, or conduct. Your use of third-party offerings is at your own risk and subject to the third party’s terms.
16. Intellectual Property
The Site, including its text, graphics, logos, icons, software, design, arrangement, compilation, data, audio, video, and other content, is owned by or licensed to PayDiverse and is protected by intellectual-property and other laws. PayDiverse and associated names, logos, and branding are trademarks or service marks of PayDiverse. Other names and marks belong to their respective owners. Nothing in these Terms grants you any right to use any mark without prior written permission.
17. Copyright Complaints
If you believe in good faith that material on the Site infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act, 17 U.S.C. § 512, to:

A valid notice should include: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification and location of the allegedly infringing material; (d) your contact information; (e) a statement of good faith belief that the use is unauthorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act for the owner.
18. Feedback
If you provide ideas, comments, suggestions, or other feedback concerning the Site or our services, you grant PayDiverse a worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable right to use, reproduce, modify, distribute, display, perform, and otherwise exploit that feedback for any lawful purpose without restriction, attribution, or compensation.
19. Site Availability; Changes; Force Majeure
PayDiverse may modify, suspend, restrict, discontinue, or remove any part of the Site, Provider relationship, product description, feature, or content at any time without liability. The Site may be unavailable because of maintenance, technical failures, telecommunications interruptions, Provider outages, cyberattacks, labor disputes, natural disasters, public-health events, governmental action, war, terrorism, civil unrest, utility failures, or other events beyond PayDiverse’s reasonable control.
PayDiverse will not be liable for delay, nonperformance, interruption, loss, or damage caused by any circumstance beyond its reasonable control.
20. Disclaimer of Warranties
THE SITE, ITS CONTENT, AND ALL BROKERAGE, REFERRAL, COMMUNICATION, AND APPLICATION-FACILITATION ACTIVITIES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PAYDIVERSE DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, COURSE OF DEALING, USAGE OF TRADE, AND RESULTS. PAYDIVERSE DOES NOT WARRANT THAT THE SITE WILL BE AVAILABLE, UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY INFORMATION, PROVIDER, PRODUCT, SERVICE, APPLICATION, OR RESULT WILL BE ACCURATE, COMPLETE, SUITABLE, LAWFUL, AVAILABLE, APPROVED, OR SUCCESSFUL.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. Any legally required warranty is limited to the shortest duration and narrowest scope permitted by law.
21. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PAYDIVERSE AND ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AGENTS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE “PAYDIVERSE PARTIES”) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, DATA, OPPORTUNITY, OR ANTICIPATED SAVINGS; COSTS OF SUBSTITUTE SERVICES; BUSINESS INTERRUPTION; INTERNAL LABOR OR ADMINISTRATIVE COSTS; OR DAMAGES ARISING FROM OR RELATING TO A PROVIDER, UNDERWRITING DECISION, APPLICATION, DELAY, DECLINE, RESERVE, HOLD, FUNDING ISSUE, TERMINATION, SECURITY INCIDENT, OR THIRD PARTY DISPUTE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY.
The limitations in this Section apply even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be limited.
22. Release of Third-Party Disputes
To the fullest extent permitted by law, you release the PayDiverse Parties from all claims, demands, liabilities, losses, and damages, known and unknown, arising out of or relating to any Provider, third-party product or service, Provider agreement, underwriting or risk decision, processing activity, reserve, hold, funding issue, chargeback, data incident, suspension, termination, fee, equipment issue, or other dispute between you and a third party.
If you are a California resident, you waive California Civil Code § 1542, which provides that a general release does not extend to claims the releasing party does not know or suspect to exist in its favor at the time of executing the release and that, if known, would have materially affected the settlement. You waive any similar law of any jurisdiction.
23. Indemnification
You will defend, indemnify, and hold harmless the PayDiverse Parties from and against all claims, demands, actions, investigations, liabilities, judgments, settlements, penalties, fines, losses, damages, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or relating to:
- your access to or use of the Site;
- your Submitted Information or any allegation that it is false, misleading, unauthorized, infringing, or unlawful;
- your business, products, services, marketing, customer relationships, or transactions;
- your breach of these Terms, a Provider agreement, law, regulation, network rule, or third-party right;
- fraud, chargebacks, refunds, consumer claims, privacy claims, security incidents, sanctions issues, or regulatory matters attributable to you or your personnel; or
- any act or omission by you, your owners, employees, contractors, agents, affiliates, or customers.
PayDiverse may assume and control the defense and settlement of any indemnified matter using counsel of its choice, at your expense, and you will reimburse defense costs as incurred; provided that PayDiverse will not settle a matter requiring you to admit liability or pay an amount not covered by this indemnity without your consent, not to be unreasonably withheld, conditioned, or delayed. You will cooperate fully and may not settle any matter in a manner that admits fault by, imposes obligations on, or fails to fully release a PayDiverse Party without PayDiverse’s prior written consent.
24. Suspension and Termination
PayDiverse may restrict, suspend, or terminate your access to the Site or discontinue assistance at any time, with or without notice and without liability, for any reason, including suspected fraud, security risk, legal or regulatory concern, inaccurate information, abusive conduct, Provider request, or breach of these Terms. Upon termination, your right to use the Site ends immediately.
Sections that by their nature should survive will survive, including provisions concerning intellectual property, Submitted Information, no reliance, applicant costs, disclaimers, releases, limitations of liability, indemnification, dispute resolution, and general terms.
25. Governing Law; Venue
These Terms and any dispute arising out of or relating to the Site, PayDiverse, or these Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, and applicable federal law. Subject to the arbitration provisions below, the exclusive venue for any permitted court proceeding will be the state or federal courts located in Miami-Dade County, Florida, and each party irrevocably submits to their personal jurisdiction and waives objections based on venue or forum non conveniens.
26. Mandatory Informal Dispute Resolution
Before initiating arbitration or litigation, the claimant must send a written notice describing the claimant’s name and contact information, the factual and legal basis of the dispute, the specific relief requested, and the claimant’s personally signed certification that the information is accurate. Notice to PayDiverse must be sent by certified mail or nationally recognized overnight courier to Pay Diverse Ventures LLC, 450 Alton Road, Miami Beach, Florida 33139.
The parties will attempt in good faith to resolve the dispute for at least thirty (30) days after receipt of a complete notice. Any limitations period is tolled during that 30-day period. Compliance with this Section is a condition precedent to commencing arbitration or litigation.
27. Binding Arbitration; Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. EXCEPT FOR THE LIMITED MATTERS DESCRIBED BELOW, YOU AND PAYDIVERSE AGREE THAT ALL DISPUTES ARISING OUT OF OR RELATING TO THE SITE, THESE TERMS, ANY COMMUNICATION, APPLICATION, REFERRAL, OR RELATIONSHIP WITH PAYDIVERSE, INCLUDING DISPUTES CONCERNING FORMATION, ENFORCEABILITY, SCOPE, OR INTERPRETATION, WILL BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION AND NOT IN COURT.
The Federal Arbitration Act governs this Section. Arbitration will be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and, where applicable, its Consumer Arbitration Rules, as modified by these Terms. The arbitration will be conducted by one arbitrator in Miami-Dade County, Florida, unless the parties agree to remote proceedings or another location, and each party will bear its own attorneys’ fees and costs and an equal share of the arbitrator and administrative fees, except as otherwise required by applicable law or awarded under an applicable fee-shifting statute or rule. The arbitrator may award relief available in court on an individual basis but may not consolidate claims or preside over any class, collective, coordinated, consolidated, mass, or representative proceeding.
YOU AND PAYDIVERSE EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, COORDINATED, OR REPRESENTATIVE ACTION OR ARBITRATION. ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY.
Either party may seek temporary, preliminary, or permanent injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, systems, or security, without waiving arbitration of any other dispute and, to the fullest extent permitted by law, without posting bond. Either party may pursue an individual claim in small-claims court if the claim qualifies and remains there. A court, not the arbitrator, will decide any challenge to the class-action waiver.
You may opt out of this arbitration agreement by sending a personally signed written notice stating your name, business name, mailing address, email address, telephone number, and an unequivocal request to opt out. The notice must be received within thirty (30) days after you first accept these Terms and must be mailed to Pay Diverse Ventures LLC, Attn: Arbitration Opt-Out, 450 Alton Road, Miami Beach, Florida 33139. Opting out will not affect other provisions of these Terms.
28. Changes to These Terms
PayDiverse may revise these Terms from time to time by posting the revised version on the Site and updating the “Last Updated” date. Where required by law or where changes are material, PayDiverse may provide additional notice, including by email or a Site notice. Revised Terms become effective on the date stated in the revised version and apply prospectively to use of the Site on or after that date. Continued use of the Site after the effective date constitutes acceptance of the revised Terms.
29. General Provisions
These Terms and the Privacy Policy constitute the entire agreement between you and PayDiverse concerning the Site and supersede prior or contemporaneous communications concerning the same subject. A separate written agreement signed by an authorized PayDiverse officer controls only to the extent it expressly conflicts with these Terms.
You may not assign or transfer these Terms without PayDiverse’s prior written consent. PayDiverse may assign these Terms, in whole or in part, without your consent or notice, including to an affiliate or in connection with a merger, acquisition, reorganization, sale of assets, affiliate transfer, or by operation of law.
If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. If the class-action waiver is held unenforceable as to a particular claim or request for relief, that claim or request will proceed in court after all arbitrable matters are resolved, unless applicable law requires otherwise.
No waiver is effective unless in writing and signed by the waiving party. A failure to enforce any provision is not a waiver. Headings are for convenience only. “Including” means “including without limitation.” Except for the PayDiverse Parties, which are intended third-party beneficiaries of Sections 21 through 24 and may enforce those Sections directly, these Terms do not create third-party beneficiary rights, a partnership, joint venture, franchise, agency, employment, or fiduciary relationship.
